These Terms & Conditions (“Terms”) govern your access to and use of iWise websites, mobile applications, products, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1) Who We Are

iWise is a technology and AI software studio providing digital products, software, and related services. Some features may be experimental or may change over time.

2) Eligibility

You must be able to form a binding contract under applicable law to use the Services. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3) Accounts (If Applicable)

Some Services may require creating an account.

You agree to:

• provide accurate information,

• keep your credentials secure, and

• notify us promptly of unauthorized use.

You are responsible for activity under your account to the extent permitted by law.

We may suspend or terminate accounts that violate these Terms or pose security risks.

4) Using the Services

You agree not to:

• use the Services for unlawful, harmful, or abusive purposes,

• attempt to hack, disrupt, or reverse engineer (except where law allows),

• upload malware or interfere with system integrity,

• scrape or harvest data without permission,

• misuse the Services to violate others’ rights (privacy, IP, etc.),

• impersonate any person or misrepresent affiliation.

We may limit or block access to protect the Services, users, and our systems.

5) AI Features & Outputs (Important)

Some Services may include AI-powered features (“AI Features”). You acknowledge that:

• AI outputs may be inaccurate, incomplete, or inappropriate.

• You are responsible for verifying outputs before using them in decisions, publishing, or relying on them.

• AI Features are not a substitute for professional advice (legal, medical, financial, etc.).

• Outputs may vary for the same input and are provided “as is”.

Safety & misuse: You may not use AI Features to generate or distribute content that is illegal, harmful, deceptive, or infringes rights.

6) User Content

“User Content” means any information, text, prompts, files, or materials you submit through the Services.

You represent that you have the rights to submit User Content and that it does not violate laws or third-party rights.

You grant iWise a limited, non-exclusive, worldwide license to host, store, process, and display User Content only as necessary to provide, maintain, and improve the Services.

We may remove or restrict content that violates these Terms or applicable law.

7) Intellectual Property

The Services (including software, designs, text, graphics, trademarks, and logos) are owned by iWise or its licensors and are protected by intellectual property laws.

Except as expressly allowed, you may not copy, modify, distribute, sell, lease, or create derivative works from the Services.

Feedback: If you provide suggestions or feedback, you grant iWise the right to use it without restriction or compensation.

8) Third-Party Services and Links

The Services may integrate with or link to third-party services (e.g., analytics tools, support platforms, app stores, payment providers). iWise is not responsible for third-party services and their policies. Your use of third-party services is governed by their terms.

9) Purchases, Subscriptions & Billing (If Applicable)

Some Services may offer paid features, subscriptions, or in-app purchases.

A) App Store Purchases

If you purchase through Apple App Store (or similar platforms):

• billing and payments are processed by the platform provider,

• cancellations and refunds are handled according to their rules and policies,

• you must manage subscriptions in your platform account settings.

B) Direct Payments (If Applicable)

If we offer direct payments via a payment provider:

• you agree to the payment provider’s terms,

• you authorize charges for the selected plan, taxes (if any), and renewals,

• we do not store full payment card details.

C) Auto-Renewal

Subscriptions may renew automatically unless canceled before the renewal date. Pricing, renewal frequency, and plan features will be disclosed at purchase.

D) Taxes

Prices may exclude or include applicable taxes depending on your location and the payment method. You are responsible for any applicable taxes unless required otherwise by law.

10) Refunds & Cancellations

Refunds and cancellations follow:

• App Store policies for App Store purchases, or

• the applicable payment provider rules and our stated refund policy for direct payments (if offered).

Where required by law, mandatory consumer rights and withdrawal rights may apply.

11) Service Availability, Changes, and Beta Features

We may modify, update, suspend, or discontinue any part of the Services at any time.

Some features may be labeled beta, experimental, or preview and may be less reliable. We are not liable for issues arising from beta features to the extent permitted by law.

12) Acceptable Use & Content Rules

You may not use the Services to:

• violate laws or regulations,

• infringe IP rights, privacy, or publicity rights,

• distribute illegal or harmful content,

• facilitate fraud, phishing, or deception,

• harass, threaten, exploit, or harm others,

• create or distribute malware.

We may investigate violations and cooperate with law enforcement where required.

13) Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Services, you acknowledge that you have read it.

14) Disclaimers

To the maximum extent permitted by law:

• The Services are provided “as is” and “as available.”

• We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

• We do not guarantee uninterrupted, error-free, or secure operation.

• We do not guarantee outcomes, results, or the accuracy of AI outputs.

Some jurisdictions do not allow certain disclaimers; in that case, these disclaimers apply to the fullest extent allowed.

15) Limitation of Liability

To the maximum extent permitted by law:

• iWise will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business interruption.

• iWise’s total liability for any claim relating to the Services will not exceed the amount you paid to iWise for the Services in the six (6) months before the event giving rise to the claim, or USD 100 if you paid nothing (whichever is greater), unless mandatory law requires otherwise.

Nothing in these Terms limits liability for fraud, willful misconduct, or liability that cannot be limited under applicable law.

16) Indemnification

You agree to indemnify and hold harmless iWise from claims, damages, liabilities, and expenses arising from:

• your misuse of the Services,

• your User Content,

• your violation of these Terms or third-party rights.

17) Termination

You may stop using the Services at any time.

We may suspend or terminate your access if you violate these Terms, if we must do so to comply with law, or to protect the Services and users.

Sections that by their nature should survive termination will survive (including IP, disclaimers, limitation of liability, and dispute terms).

18) Governing Law & Disputes

These Terms are governed by the laws of Türkiye, without regard to conflict of law rules.

Unless mandatory law provides otherwise, disputes will be subject to the exclusive jurisdiction of the courts and enforcement offices of İstanbul (Çağlayan).

If you are a consumer, mandatory consumer protection rules and jurisdiction rights may apply.

19) Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted (or as otherwise stated). Your continued use of the Services after changes means you accept the updated Terms.
